Dear Valued Member,
Following more than eight weeks of due diligence and thorough analysis, today, the Boards of Directors of Farmers Cooperative Company (FC) and West Central Cooperative (WCC) approved a merger agreement to combine FC and WCC. Packets containing the ballots regarding the merger vote will be sent out by FC and WCC in late November 2015. Pending a positive vote by you, our member-owners, the agreement would result in the merger of two agricultural leaders into one customer-focused team.
A merger of our cooperatives allows us to protect your membership investment by strengthening your cooperative and better serve your operation’s needs today, and well into the future.
A summary of the analysis will be distributed to you. The notice of the meeting, the ballot, a summary of the plan of merger and the articles of the incorporation for the combined cooperative are scheduled to be distributed in late November. These same materials, together with videos and other company information will also be available on our public merger website (wccgrow15.com or fcgrow15.com).
We will also host joint member information meetings to review our findings, share the benefits of the merger and answer any questions you may have. Enclosed is a copy of the schedule for the informational meetings to be held between November 30 and December 11. We hope you will be able to attend at least one of the 20 informational meetings we have scheduled throughout our trade territories.
This is a landmark decision for you, our member-owners. Your Boards and employee teams are excited and take this vote very seriously. In our more than 200 years of combined cooperative history, there has only been one merger involving FC or WCC that required the vote of both memberships. You own your cooperatives and we encourage you to get involved in the process, learn about our recommendations, and return your ballot. Every member matters.
